Welcome to Haichen ("the Company," "we," or "us") website (www.haichen.co). These Terms and Conditions of Sale ("Terms") apply to all products and services purchased from this website. Please read these Terms carefully, as they contain important information about your rights and obligations.

1. Acceptance of Terms

By placing an order or using this website, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use this website or purchase our products and services.

2. Products and Services

All descriptions, specifications, prices, and availability of engineering machinery products and services are as stated on the website. While we strive to ensure the accuracy of this information, changes may occur due to technical reasons, market fluctuations, or other factors. We reserve the right to change or discontinue any product at any time without prior notice.

3. Order Confirmation and Payment

All orders are subject to our written confirmation. Once confirmed, orders cannot be canceled or modified unless mutually agreed upon in writing. We accept international payment methods such as Telegraphic Transfer (T/T) and Letter of Credit (L/C). All payments must be completed before shipment, and specific payment terms will be clarified upon order confirmation.

4. Pricing, Delivery Terms, and Taxes

All prices are quoted on an Ex-Works (EXW) basis by default, which does not include transportation, loading, insurance, import duties, taxes, Value Added Tax (VAT), or any other government charges. The customer is responsible for arranging and covering all costs associated with transportation from the seller's factory.

However, if the customer requires an alternative delivery term (e.g., FOB, CIF, DAP), we are open to negotiating other Incoterms, and the specific delivery term will be confirmed in the contract or order document. The customer must ensure all related fees and taxes are paid. The Company shall not be liable for any delays or additional costs arising from unpaid fees.

5. Delivery and Transfer of Risk

All products will be shipped based on the agreed delivery terms after payment confirmation. For Ex-Works (EXW) deliveries, the risk transfers to the buyer when the goods are handed over to the carrier at the seller’s premises. If alternative delivery terms are agreed upon, the risk transfer will be determined according to the specified Incoterm. Transportation insurance can be arranged upon the customer's request, but the cost will be borne by the customer.

6. Inspection and Acceptance

The customer is required to inspect the goods immediately upon receipt and notify us in writing of any quality or quantity issues within 14 days of receipt. If the customer does not raise any objections within the specified time, it will be deemed that the goods have been accepted.

7. Returns and Refunds Policy

Due to the nature of engineering machinery, all sales are final, and returns are not accepted unless there is a quality issue with the product. For products eligible for return, the customer is responsible for return shipping costs and ensuring that the product is returned in its original packaging and resalable condition.

8. Product Warranty

Engineering machinery products provided by us generally come with a warranty from the manufacturer. Warranty terms may vary by manufacturer. It is the customer's responsibility to carefully read and comply with the manufacturer's warranty terms. We shall not be liable for damages to products beyond the warranty coverage.

9. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use this website or the purchase of products. Our liability, in any case, shall not exceed the purchase price paid by the customer.

10. Personal Information and Privacy

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any disputes arising from these Terms shall be submitted to a Chinese arbitration institution for arbitration in accordance with its rules. The place of arbitration shall be Guangzhou, China, and the language of arbitration shall be Chinese. The arbitration award shall be final and binding on both parties. The Chinese version of these Terms shall prevail, and any translated versions are for reference only.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. The revised Terms will take effect immediately upon posting on the website. We recommend that you review these Terms periodically to stay informed of the latest terms and conditions.
